1. Speed2Web is an enterprise duly constituted according to the Mexican laws, and which has a license from HelloHelp.com, Inc (“HelloHelp.com”) for Latin America, creator and owner of the HelloHelp software, its components, and by-components.

2. The license for HelloHelp is for personal use, non-commercial, non-exclusive, and non-transferable, and so the Beneficiaries of the Service could get an access to it directly from the Client’s Web Site.

3. Payments
a. The Client will pay the registration fee, and the monthly rent current in the HelloHelp Portal, due to the provision of Services. The Client shall pay it specifically, and according to the installment payments and conditions described on it.
b. Free Trial. Speed2Web could offer a free period of use to its clients. This free sample period begins starting the first use, which is a non-extendable period, and for a unique time to use.
c. The objective of this sample period is to try the service, and it is subject to the same terms and conditions of this Agreement. Once the free period is ended, and while the client does not show the opposite, it will be understood the acceptance of the onerous use of the service.

4. Speed2Web reserves the right to modify in the future its prices, through the simple publication in the HelloHelp Portal. The modification, in its case, will be taking in consideration the prevailing conditions of the market at the time.

5. Provision of Services
a. Installation.- For the installation of HelloHelp in the Client’s Web Site, the Client will add the Help Button to its web site, by itself and through its Webmaster or anyone else who the own Client designs, following the instructions sent by Speed2Web. The Client is the only one responsible for the installation of HelloHelp.
b. Access and Connection.- The Beneficiaries of the Service could have Access to the HelloHelp service with just clicking the Help Button in the Client’s Web Site. Speed2Web is not responsible for the access and connection to Internet of the Users and Beneficiaries of the Service.
c. User Names and Passwords.- The Client will define the authorized users to operate HelloHelp. Speed2Web will provide user identification (“User Name”), and a password (“Password”), and the Client could add the users who wish being under the same premises, and according to the current conditions on the HelloHelp Portal. The Client will be responsible of keeping confidential the User Names and the given Passwords. Any information or messages sent under the User Names and given Passwords of the Client will consider, for all effects, done by the own Client.

6. Content Responsibility
The Client recognizes, and accepts that the online direct communication among Users and the Beneficiaries of the Service are taking place in real time, and cannot be accessed, edited, canceled, or controlled in any form by Speed2Web. Due to this, Speed2Web is not responsible in any form for the content of this online communication, still when the same could be offensive or violated of someone else’s rights.

7. Confidentiality
Speed2Web is committed to keep, and to do not reveal to third parties names, amounts, analysis, data, and any other information that anyhow could be accessed without previous authorization written by the Client.

8. Restrictions
The Client could not:
a. Modify anyhow, or create by-products from HelloHelp, its codes or documents, including translations.
b. Decompile, unassembled, using vice versa engineering techniques, or any form which tries to deduce the source codes, and codes object from HelloHelp.
c. Sub-license, copy, redistribute, or any form to grant rights over HelloHelp to third parties.
d. Use HelloHelp for different purposes than the accepted in this Agreement.
e. Remove or change the trademark, logos, or any other banner, property sign, captions, or labels from HelloHelp, which identify it as property of HelloHelp.com without previous consent written by Speed2Web.
These restrictions are without prejudice of any other contained in this Agreement.
9. No Competition
The Client is enforced to do not compete with Speed2Web through the establishment of a business with similar characteristics or purposes to Speed2Web, or through the distribution of similar products of HelloHelp.

10. Copyright and Intellectual Property
a. These restrictions are without prejudice of any other contained in this Agreement.
b. The Client recognize and accept that HelloHelp is protected by laws and international treaties regarding copyright, as well by other laws and treaties on intellectual property, for which it is an obligation to respect in all time the rights on intellectual property that HelloHelp.com has over HelloHelp, and any other hold by it.

11. Guarantees, Damages, and Responsibility
a. Guarantees.- Speed2Web provides HelloHelp in excellent operation and functional conditions. The Client has tried HelloHelp, and so the Client assumes all operation, and performance risks, which imply the use of this service through its equipment and Internet.
b. Damages.- In any case Speed2Web will be responsible for any damage consistent, incidental, direct, indirect, especial or penalized, or any other damage of any kind that could arise from the use, incompetence, or impossibility of use of HelloHelp. This exclusion of damages will be effective even if HelloHelp has errors in its essential purpose.
c. Responsibility.- In the measure allowed by the applicable laws, the Client releases Speed2Web and its Affiliates, from any and all responsibilities that arise, or be related with all the complaints concerned to HelloHelp, or its use. If the Client does not wish to use HelloHelp under the terms of this Agreement, shall not install nor use HelloHelp. The Client recognizes that the content of the communication in electronic format set up among the Beneficiaries of the Service and the User will be under the Client’s responsibility, as well for the harms, and damages that could follow the own Client, or third parties due to this cause.

12. Compensation damages
The Client agrees to compensate Speed2Web of any action, suit, or complain, (including the attorney and court fees) arose from any breach of this Agreement from the Client, including, without any limitation: (i) impropriate use of HelloHelp; or (ii) violation of the laws, or international treaties related to copyrights, or intellectual property of HelloHelp.

13. Suspension of the Service and Cancelation of the Contract
a. Speed2Web could suspend the execution of HelloHelp, from its Servers when the Client discontinues paying regularly the Fees and Tariffs.
b. Speed2Web could suspend or end the service of HelloHelp at any time, in case that the Client does not accomplish the agreed obligations contained in this Contract.
c. The Client could cancel the service through a written notification to Speed2Web with 30 days of anticipation.

14. Applicable Legislation, and Jurisdiction
The Client agrees to compensate Speed2Web of any action, suit, or complain, (including the attorney and court fees) arose from any breach of this Agreement from the Client, including, without any limitation: (i) impropriate use of HelloHelp; or (ii) violation of the laws, or international treaties related to copyrights, or intellectual property of HelloHelp.
